1. Definitions and Interpretation

In these Conditions, the following words have the following meanings:

  • “After Hours” means from 17:30 – 08:30 hours Monday to Friday, and all day Saturday and Sunday, including Public Holidays.
  • “Business Hours” means Monday to Friday from 08:30 to 17:30 hours excluding Public Holidays.
  • “Client”, “You” or “Your” means a person who seeks or obtains a quote for, or who orders, Goods or Services from Us, including:
    • The person named on the Order
    • The person placing the order
    • The person on whose behalf an order is placed
    • Their heirs, successors, and assigns
  • “Conditions” means these terms and conditions
  • “Goods” means any goods and/or services sourced or provided by Us, including computer hardware and software
  • “GST” has the meaning given in the A New Tax System (Goods and Services Tax) Act 1999 (Cth)
  • “Order” means any request by You for Goods or Services
  • “Quote” means a quote provided to You by Us
  • “Period” means the agreed duration for providing Services
  • “Public Holidays” means any day which is a public holiday throughout Western Australia
  • “Rates” means the hourly rates and charges for Services as set out in the Rates Schedule
  • “Services” means the provision of any services by Us, including work, advice, and recommendations

2. Application of Conditions

2.1 These Conditions apply to every Quote, Order, and arrangement for supply of Goods or Services by Us.

2.2 If any provision is found to be invalid or unenforceable, the remaining provisions will remain in full effect.

3. Service Requests

3.1 Service requests may only be lodged through the following methods:

  • Include a clear description of the problem
  • Provide screenshots of any errors
  • Include your name, company, and contact details (for phone or email requests)

3.3 Service requests must not be made directly to individual technicians.

4. Pricing and Payment

4.1 All prices quoted are exclusive of GST and other applicable taxes.

4.2 Invoices are payable within the terms stated on the invoice.

4.3 Late payment may result in:

  • Suspension of services
  • Daily interest charges
  • Recovery of legal and collection costs

5. Liability and Warranties

5.1 We maintain commercial general liability insurance of $10,000,000.

5.2 Manufacturer warranties apply to goods supplied.

5.3 We are not liable for:

  • Indirect or consequential losses
  • Data or program loss
  • Performance issues beyond our reasonable control

6. Confidentiality

6.1 Both parties agree to maintain confidentiality of sensitive information.

6.2 All intellectual property created during service provision remains our property.

7. Termination

7.1 Either party may terminate the agreement with 90 days’ written notice.

7.2 Early termination may incur remaining payment obligations.

8. Governing Law

These Conditions are governed by the laws of Western Australia.

9. After Hours Support

9.1 After hours support is available by phone.

9.2 Additional charges may apply for after-hours services.

10. Privacy

10.1 We collect personal information for service provision.

10.2 Personal information will be handled in accordance with Australian privacy laws.

11. Software and Licensing

11.1 Clients are responsible for maintaining software licences.

11.2 Unauthorised software use is not permitted.

12. Access and Cooperation

12.1 Clients must provide necessary access to systems and sites.

12.2 Clients agree to cooperate with our service processes.
